OVERVIEW

Welcome to XP Computers. The terms “XP Computers,” “we,” “us,” and “our” refer to XP Computers, an online and physical retailer of computer accessories, gaming gear, storage products, networking products, and mobile accessories.

XP Computers operates the website https://xpcomputers.store and its related content, features, products, and customer services, collectively referred to as the “Services.” Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services.

These Terms of Service, together with the policies referenced below, explain your rights and responsibilities when you access or use the Services. Please read them carefully, particularly the provisions concerning warranties, liability, returns, and dispute resolution.

SECTION 2 – PRODUCTS AND PRODUCT INFORMATION

We take reasonable care to describe and display our products accurately. However, product colours and appearance may vary because of photography, lighting, screen settings, packaging changes, or manufacturer revisions.

Product images may be illustrative. Where specifications, model numbers, compatibility, condition, warranty, or included accessories are important, please confirm them with us before ordering.

Product descriptions, specifications, prices, availability, and warranties may be changed without notice.

We reserve the right to discontinue any product or limit the quantities available to a customer, order, location, or jurisdiction.

A product listing is an invitation to place an order and does not create a binding obligation on XP Computers to sell the product.

SECTION 3 – ORDERS AND ACCEPTANCE

When you place an order, you are making an offer to purchase the selected products.

An automated order confirmation only confirms that we have received your order. It does not necessarily mean that we have accepted it.

An order is accepted when we confirm acceptance or dispatch the products, whichever occurs first.

We may verify the product price, stock availability, payment, delivery coverage, customer information, and product compatibility before accepting an order.

Prices for SSDs, RAM, storage products, and other market-sensitive items may be confirmed before processing. If the current price differs from the listed price, we will request your approval before proceeding.

We may reject, limit, or cancel an order for a legitimate reason, including:

Stock unavailability;

A pricing or listing error;

Suspected fraud;

Payment failure;

Delivery limitations;

Incorrect customer information; or

A breach of these Terms.

If we cancel a prepaid order, we will refund the amount received for the cancelled product using an available payment method.

Please review your order carefully before submitting it. Cancellation requests are not guaranteed after an order has been accepted or dispatched.

Unless we agree otherwise in writing, purchases are intended for personal or household use and not for unauthorized resale or export.

SECTION 4 – PRICES, TAXES, AND PAYMENT

All prices are displayed in Pakistani Rupees unless otherwise stated.

Prices, discounts, and promotions may change without notice. The applicable product price will be the price confirmed by us when the order is accepted.

Delivery charges and any applicable taxes or fees will be displayed or communicated before the order is finalized wherever reasonably possible.

Online prices may differ from prices at our physical shop or on third-party marketplaces.

Promotions may be subject to separate terms and conditions. If the terms of a promotion conflict with these Terms, the promotion terms will apply to that promotion.

You confirm that you are authorized to use any payment method you provide and that your payment information is accurate.

You agree to pay the confirmed product price and any applicable delivery charges.

Cash on Delivery is available only in locations supported by courier coverage and may be subject to telephone or WhatsApp verification.

SECTION 5 – SHIPPING AND DELIVERY

Delivery dates and times are estimates and are not guaranteed.

Delivery may be delayed because of courier operations, weather, public holidays, security conditions, remote-area service, incorrect contact information, government restrictions, or other events outside our reasonable control.

You must provide a complete and accessible delivery address and remain available at the telephone number supplied with your order.

Additional delivery charges may apply if a parcel is returned because delivery was refused, the address was incorrect, or the recipient was unavailable.

Risk of loss or damage passes to you when the order is delivered to you or your authorized recipient.

Please inspect your parcel promptly. Visible damage, missing items, or delivery of an incorrect product should be reported to us as soon as reasonably possible.

We may request photographs or an opening video to help investigate a delivery complaint.

Nothing in this section removes any mandatory rights available to you under applicable law.

SECTION 6 – RETURNS, EXCHANGES, AND WARRANTIES

The Return & Exchange Policy forms part of these Terms.

Manufacturer or seller warranties vary by product. A warranty applies only as stated on the product page, invoice, warranty card, or written communication from XP Computers.

A warranty claim may require the original invoice, warranty card, serial number, packaging, accessories, and inspection by XP Computers, the distributor, supplier, or manufacturer.

Unless an express written warranty or applicable law provides otherwise, warranties do not cover damage caused by:

Misuse or improper handling;

Accidental or physical damage;

Liquid exposure;

Electrical surges or power fluctuations;

Unauthorized repairs or modifications;

Software issues;

Normal wear and tear; or

Failure to follow the manufacturer’s instructions.

Warranty processing times depend on the applicable manufacturer, supplier, or distributor.

A valid warranty claim may result in repair, replacement, or another remedy determined by the applicable warranty provider and mandatory law.

SECTION 7 – INTELLECTUAL PROPERTY

The Services and their original content, including the XP Computers name, logo, text, graphics, photographs, videos, page design, and arrangement, are owned by or licensed to XP Computers and are protected by applicable intellectual-property laws.

Third-party product names, logos, and trademarks belong to their respective owners.

We grant you a limited, non-exclusive, non-transferable, and revocable right to use the Services for lawful personal shopping.

Without our prior written permission, you may not reproduce, republish, sell, scrape, distribute, modify, create derivative works from, publicly display, or commercially exploit our content.

No right or licence is granted except as expressly stated in these Terms.

SECTION 8 – THIRD-PARTY SERVICES AND OPTIONAL TOOLS

The Services may provide access to tools or services supplied by third parties, including payment providers, couriers, messaging services, analytics providers, social-media platforms, and ecommerce providers.

XP Computers is not responsible for the independent acts or omissions of a third-party provider.

These links are provided for convenience and do not necessarily mean that XP Computers endorses the third party.

We do not control or guarantee a third-party website’s accuracy, availability, security, products, services, or business practices.

Complaints regarding a third party’s products or services should be directed to the relevant third party.

SECTION 10 – SHOPIFY’S ROLE

XP Computers is powered by Shopify.

However, purchases made through our online store are transactions directly between you and XP Computers.

Shopify is not the seller of the products offered by XP Computers.

To the extent permitted by applicable law, Shopify is not responsible for our products, order fulfilment, warranties, injuries, losses, or damages arising from a transaction with XP Computers.

This section does not limit any right or remedy that cannot lawfully be limited.

SECTION 11 – PRIVACY

Because Shopify hosts our online store, Shopify may process information about your access to and use of the Services to operate and improve its ecommerce platform.

SECTION 12 – REVIEWS AND FEEDBACK

If you send or post a review, suggestion, image, idea, or other feedback, collectively referred to as “Feedback,” you grant XP Computers a worldwide, non-exclusive, perpetual, sublicensable, and royalty-free licence to use, reproduce, adapt, publish, translate, distribute, and display that Feedback for operating, improving, and promoting the Services.

You confirm that:

You have the necessary rights to submit the Feedback;

The Feedback is accurate to the best of your knowledge;

You have disclosed any payment, free product, discount, or other incentive received in connection with the Feedback; and

The Feedback does not violate applicable law or another person’s rights.

We may moderate, edit, or remove Feedback that we believe is unlawful, misleading, abusive, obscene, infringing, malicious, or otherwise inappropriate.

We are not required to keep Feedback confidential, compensate you, publish it, or respond to it.

SECTION 13 – ERRORS, INACCURACIES, AND AVAILABILITY

The Services may occasionally contain errors or omissions relating to product descriptions, specifications, prices, discounts, promotions, shipping charges, delivery times, or availability.

We reserve the right to correct or update information and cancel an affected order.

If a correction materially affects an unfulfilled order, we will notify you where reasonably possible.

If a prepaid product is cancelled because of an error or lack of availability, we will provide an appropriate refund.

You may use the Services only for lawful purposes.

You must not use the Services to:

Violate applicable law or another person’s rights;

Submit false, fraudulent, defamatory, abusive, obscene, or misleading material;

SECTION 16 – SUSPENSION AND TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access, cancel an account, or refuse service where reasonably necessary to:

Enforce these Terms;

Comply with applicable law;

Prevent fraud or abuse;

Protect the security of the Services; or

Protect XP Computers, our customers, or third parties.

Termination does not affect obligations or liabilities that arose before termination.

Provisions that should reasonably survive termination, including those concerning intellectual property, Feedback, disclaimers, liability, indemnity, governing law, and disputes, will continue to apply.

SECTION 17 – DISCLAIMER OF WARRANTIES

We aim to keep the Services accurate, secure, and available. However, we do not guarantee that the Services will always be uninterrupted, secure, timely, accurate, or error-free.

Except for an express product warranty or a right that cannot be excluded under applicable law, the Services and products are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Nothing in these Terms excludes or restricts a warranty or consumer right that cannot legally be excluded or restricted.

SECTION 18 – LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, XP Computers and its owners, personnel, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential loss.

This includes loss of profits, revenue, savings, business opportunities, goodwill, or data arising from the Services or a product purchased through them.

Where liability cannot be excluded, our total aggregate liability relating to a particular order will not exceed the amount you paid XP Computers for the product giving rise to the claim, except where applicable law requires a different remedy or amount.

Nothing in these Terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other liability that cannot be limited under Pakistani law.

SECTION 19 – INDEMNITY

To the extent permitted by law, you agree to indemnify and hold harmless XP Computers and its personnel, affiliates, agents, contractors, service providers, and licensors against third-party claims, losses, and reasonable costs resulting from:

Your unlawful use of the Services;

Your material breach of these Terms; or

Your violation of another person’s rights.

This obligation does not apply to the extent that a claim was caused by our own breach, negligence, or unlawful conduct.

SECTION 20 – FORCE MAJEURE

XP Computers is not responsible for a delay or failure caused by an event beyond our reasonable control.

Such events may include natural disasters, severe weather, epidemics, war, civil disorder, government action, internet or utility failure, transport disruption, labour disruption, supply shortages, or courier interruption.

We will take reasonable steps to reduce the effects of such an event and resume performance when reasonably practicable.

SECTION 21 – SEVERABILITY AND WAIVER

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, it will be enforced to the greatest extent permitted by law.

The remaining provisions will continue in effect.

A delay or failure by XP Computers to enforce a right or provision does not constitute a waiver of that right or provision.

SECTION 22 – ENTIRE AGREEMENT AND ASSIGNMENT

These Terms and the policies incorporated by reference form the entire agreement between you and XP Computers concerning the Services.

They replace prior communications or agreements concerning the same subject.

You may not assign your rights or obligations under these Terms without our written consent.

We may assign or transfer our rights and obligations as part of a legitimate business reorganization, business transfer, or service arrangement, subject to applicable law.

SECTION 23 – GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Islamic Republic of Pakistan.

Before beginning formal proceedings, you and XP Computers should attempt to resolve any concern in good faith.

Subject to any mandatory consumer forum or jurisdiction provided by applicable law, the courts of Rawalpindi, Punjab, Pakistan will have jurisdiction over disputes arising from these Terms or the Services.

SECTION 24 – CHANGES TO THESE TERMS

We may update these Terms to reflect changes in applicable law, our Services, or our business practices.

The current version will be posted on our website with its effective date.

Material changes will be communicated where required by applicable law.

Changes will apply from the stated effective date. Your continued use of the Services after that date constitutes acceptance of the revised Terms to the extent permitted by law.
